1.Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding agreement between you and Atmeto, Inc., a Delaware corporation (“Lectogram,” “we,” or “us”), governing your access to and use of the Lectogram service, including the website at lectogram.com, the application at app.lectogram.com, and any related features (collectively, the “Service”). By creating an account, accessing, or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2.The Service is in Beta
The Service is in beta and is provided on an “AS IS” and “AS AVAILABLE” basis. We make no commitment regarding the availability, reliability, accuracy, or fitness of the Service. Features may be added, modified, restricted, or discontinued at any time without notice. We may impose usage limits, change pricing, or pause the Service in whole or in part as we learn what works.
3.Eligibility
You must be at least 18 years of age to create an account or use the Service. By creating an account, you represent that you are 18 or older and that you have the legal capacity to enter into these Terms. If we learn that an account belongs to someone under 18, we will close the account and delete associated data.
4.Account Registration & Security
You register with an email address and a password. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. You agree to notify us promptly at support@lectogram.com of any unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably suspect of compromise or abuse.
5.AI-Generated Content (Lectures and Chat)
The Service generates lectures and chat responses using third-party large language models, including models provided by Anthropic. AI output is produced probabilistically. It may contain factual errors, hallucinated information, fabricated citations, outdated material, or biased content. Two requests with identical inputs may produce different output.
Output is provided for educational and informational purposes only. You are solely responsible for verifying the accuracy and appropriateness of AI output before relying on it for any academic, professional, medical, legal, financial, or other decision-making purpose. Lectogram does not warrant the accuracy, completeness, currency, or fitness of AI output for any purpose.
6.Your Content
“Your Content” means anything you submit to the Service, including lecture topics, instructions, uploaded PDFs, chat messages, images attached to chat, and profile fields.
You represent and warrant that, for each item of Your Content: (a) you own or have all rights, licenses, consents, and permissions necessary to submit it; (b) it does not infringe, misappropriate, or violate any third-party intellectual-property right, privacy right, publicity right, contractual right, or applicable law; and (c) its submission does not breach any obligation you owe to any third party.
You grant Lectogram a non-exclusive, worldwide, royalty-free license to host, store, transmit, process, display, and otherwise use Your Content as necessary to operate, provide, secure, support, and improve the Service, including by sending it to our AI sub-processors for generation and response. We do not sell Your Content. We do not use Your Content to train third-party AI models; AI processing of Your Content takes place through commercial API calls that do not contribute to model training (see the Privacy Policy).
7.Sharing & Public Lectures
You may make a lecture publicly accessible by enabling sharing in the lecture settings. Doing so produces a share URL containing an opaque token; anyone with that URL can view the lecture until you disable sharing or archive the lecture. You are solely responsible for what you choose to share. We do not pre-screen, moderate, review, or filter shared content. Recipients may save a reference to a shared lecture into their own library; revoking your sharing removes their access.
If you believe content shared via the Service infringes your rights or violates these Terms, please contact support@lectogram.com.
8.Credits, Charges, and Refunds
Lectogram operates on a pay-as-you-go credit model. Each lecture generation and each chat message debits credits from your balance at the rates published in the Service: a flat per-action fee plus an amount reflecting the AI token usage your request consumes. The flat fees and how token usage is billed are shown in the Service and may change as described in Section 2.
You may purchase additional credits in the Service. Credit purchases are sold and processed by Stripe, acting as the merchant of record for those purchases. Stripe processes your payment and calculates, collects, and remits any applicable sales tax, VAT, or GST based on your location — tax is added on top of the credit price and shown to you at checkout before you confirm. Stripe (through its Link service) issues your receipt and any invoice. We do not receive or store your full payment-card details. The payment methods available at checkout are determined by Stripe.
Credits are non-refundable. Credits are consumed when you generate a lecture or send a chat message and are billed regardless of whether the result meets your expectations — you are responsible for the cost of each action you initiate. Generations that fail before consuming any AI tokens are not billed. Credits are non-transferable and have no cash value. Credits expire 12 months after they are issued or purchased; each new credit purchase or grant extends the expiration of your entire credit balance to 12 months from that date. Expired credits are forfeited and cannot be redeemed or restored. Unused credits are also forfeited if your account is closed or terminated (see Section 12). Except where required by applicable law, all charges are final. Because Stripe acts as the merchant of record, Stripe may also issue refunds in limited circumstances under its own policies (for example, within 60 days of purchase to help resolve a dispute); where it does, we reverse the corresponding credits from your balance.
Disputes and chargebacks. If you initiate a payment dispute or chargeback for credits already granted to your account, we may suspend your account and reverse (claw back) the corresponding credits. Please contact us at support@lectogram.com before disputing a charge so we can try to resolve the issue first.
9.Acceptable Use
You agree not to use the Service to:
- generate or distribute content that is illegal, infringing, defamatory, harassing, threatening, hateful, sexually exploitative, or that promotes violence;
- impersonate any person or misrepresent your affiliation with any entity;
- upload material you do not have the right to use, including copyrighted PDFs you do not own or have a license to;
- attempt to reverse-engineer the Service, extract our system prompts or model instructions, or circumvent technical controls;
- scrape, crawl, or extract data from the Service by automated means;
- use the Service in violation of Anthropic’s Acceptable Use Policy or any other applicable usage policy of an underlying AI provider; or
- use the Service in any way that violates applicable law or these Terms.
We may suspend or terminate accounts for violations, with or without notice and without refund.
10.Third-Party Services
The Service depends on third-party providers, including Anthropic for AI processing, Amazon Web Services for cloud infrastructure, and Stripe, which acts as the merchant of record for credit purchases (payment processing, tax calculation and remittance, fraud prevention, dispute handling, and receipts). Your use of the Service is subject to those providers’ applicable terms in addition to ours — including, for purchases, the terms Stripe presents at checkout. We are not responsible for the acts, omissions, availability, or content of third-party providers. See the Privacy Policy for the categories of data shared with each.
11.Intellectual Property
The Service, the Lectogram name and marks, our software, our system prompts and model instructions, the structure and organization of the Service, and all related intellectual property are owned by Atmeto, Inc. and our licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
Subject to your warranties in Section 6, you retain ownership of Your Content. As between you and us, you own AI-generated output produced from Your Content (Lectogram claims no copyright in the generated lecture text), subject to the underlying AI provider’s terms and the disclaimers in Section 5. You acknowledge that AI-generated output may not qualify for copyright protection under the law of certain jurisdictions and that the same or similar output may be produced for other users.
12.Account Termination
You may delete your account at any time via Profile → Settings → Delete Account. Deletion is irreversible and removes your account, profile, lectures, chat archives, and uploaded files as described in the Privacy Policy. Some derived data (e.g., aggregated analytics records, audit-trail entries) may be retained as described there.
We may suspend or terminate your account for breach of these Terms, suspected fraud or abuse, extended inactivity, or as required by law. On termination, your right to access the Service ceases immediately and any unused credits are forfeited unless required by applicable law.
13.Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, whether express, implied, statutory, or otherwise. Lectogram and its affiliates, licensors, and suppliers disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, quiet enjoyment, and any warranties arising from course of dealing or usage of trade. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate, complete, current, reliable, or suitable for any particular use.
14.Limitation of Liability
To the maximum extent permitted by applicable law, Lectogram and Atmeto, Inc., and our affiliates, officers, employees, agents, licensors, and suppliers, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages.
Our total cumulative liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) USD $100 or (b) the total amounts you paid us for the Service in the six (6) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limits in this Section apply to the fullest extent permitted.
15.Indemnification
You agree to indemnify, defend, and hold harmless Lectogram, Atmeto, Inc., and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party right.
16.Changes to These Terms
We may update these Terms from time to time. The Effective Date and Version stamp at the top of this page reflect the current version. For material changes, we will notify you by email and surface an in-app notice. Your continued use of the Service after the Effective Date of an updated version constitutes acceptance of the changes. For material changes affecting your rights, we may require you to expressly re-accept these Terms before continuing to use the Service.
17.Governing Law, Arbitration & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, or remotely by mutual agreement. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You and Atmeto each waive any right to participate in a class action, collective action, or representative proceeding. Disputes may be brought only in your or our individual capacity.
Small-claims carve-out. Either party may bring an individual action in small-claims court for disputes within its jurisdictional limits in lieu of arbitration.
Opt-out. You may opt out of this arbitration provision by sending written notice to support@lectogram.com within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.
18.Miscellaneous
Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between you and Lectogram concerning the Service and supersede any prior or contemporaneous agreements.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent; any attempt to do so is void. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Force majeure. Neither party will be liable for any failure or delay due to events beyond its reasonable control, including acts of God, war, terrorism, riot, civil unrest, government action, labor disputes, internet or utility failures, or pandemic.
